Non Disclousure Agreement

Agreement Concerning Non-Disclosure (NDA) for Digixpertz

With regard to the disclosure of certain sensitive information, this nondisclosure agreement (the “Agreement”) has been established between Digixpertz (the “Disclosing Party”) and [Name of Recipient] (the “Recipient”) (the “Information”).

Discreet Information

Client lists, customer information, financial information, marketing plans, strategies, and other information that is not generally available to the public are some examples of the information that the Disclosing Party may reveal to the Recipient under this Agreement, but they are not the only ones.

Duties of the recipient

The Recipient promises to keep the Information secret and to use it only to assess the possibilities for a commercial connection between the Parties. In addition, the Recipient promises to safeguard the Information from unauthorised disclosure, use, or distribution and to take reasonable precautions to avoid such.

A waiver of confidentiality obligations

The confidentiality and non-disclosure obligations under this Agreement shall not apply to any Information that: (a) is already in the public domain or subsequently enters the public domain without the Recipient’s fault; (b) was already known by the Recipient at the time of disclosure by the Disclosing Party; (c) is disclosed to the Recipient by a third party who is not bound by any confidentiality obligation with respect to such Information; (d) is required by law;

Termination and Term

The Information given under this Agreement will remain confidential until the parties mutually agree to terminate it in writing or until it enters the public domain without the recipient’s fault. The Recipient shall promptly return to the Disclosing Party all papers, records, and other physical items containing the Information upon the expiration of this Agreement, and shall destroy all copies of the Information in its possession.

Miscellaneous

The Parties, as well as each of their respective successors and assigns, are bound by this Agreement and stand to gain from it. The laws of the country where Digixpertz is located shall govern this Agreement and shall be followed in construing it. Any disagreement arising out of or related to this Agreement shall only be decided by such jurisdiction’s courts. The parties have reached their final understanding with regard to the subject matter of this Agreement, which supersedes all earlier discussions, understandings, and agreements (whether written or oral) on the topic. This Agreement cannot be changed unless both Parties sign a written amendment.
